End User License Agreement
This is the license for the Cuedora software. Buying a key from Lemon Squeezy, or using the trial, means you agree to it. The Terms of Service cover the website and the sale. The Privacy Policy covers data.
Who grants the license
Chhaya Digital LLC, Apple Developer Team ID G3S7J9XFC5, licenses Cuedora to you. The original product code is proprietary. We are not selling you the copyright.

What you get
We grant you a personal, non-exclusive, non-transferable license to install and use Cuedora on Apple silicon Macs you own or control, running macOS 26 or later, for your own use.
A paid license may be active on up to three devices at a time. Lemon Squeezy enforces that limit when you activate. If you have used the three seats, deactivate one Mac (Settings → License → Deactivate this Mac…) before activating another.
The paid license includes:
- ongoing use of the major version you purchased, even after the update year ends
- software updates for that major version for one year from purchase
A later major version may be a paid upgrade. We do not promise that every Mac or every future macOS release will keep running the copy you have.
The 14-day trial is the same software under a time limit. It starts at the first successful capture. It does not require a card. When it ends, you keep access to existing data and to export and delete; new captures wait on a paid activation.
You must be 18 to buy a license. Using the trial or a paid copy means you agree to this license.
What you may not do
Except where a law says we cannot stop you (for example some interoperability rights), you may not:
- copy the app except for ordinary backups and the three permitted installations
- redistribute, rent, lease, sublicense, or resell Cuedora or the license key
- publish the license key, or share it beyond the three-device rule
- circumvent activation, the trial clock, or update signatures
- reverse engineer, decompile, or strip the code-signing checks, except to the limited extent a mandatory law allows after you have asked us for interface information and we have not provided it on reasonable terms
- use Cuedora to provide a hosted service to other people
- remove copyright or license notices, including
THIRD_PARTY_NOTICES.mdin the app bundle
Those restrictions exist because this is a paid utility sold without a cloud account. The trial and device limit are the enforcement we have. Please do not treat defeating them as a hobby.
Ownership
You own the notes, screenshots, and other files Cuedora stores on your Mac. We own the app, the name Cuedora, and the original code. Apple, Lemon Squeezy, Hugging Face, and the authors of bundled open-source components own their respective software and marks.
Third-party components
Cuedora ships with third-party software and may download optional model files. The inventory and license texts are in THIRD_PARTY_NOTICES.md inside the app bundle (copied from the same file in the source repository). That currently includes:
- speech model weights, MIT License, originally published by OpenAI and redistributed in the whisper.cpp project
- a statically linked local speech helper built from whisper.cpp, MIT License
- Sparkle 2, used for signed updates, under the notices in that file
Those upstream licenses still apply to those components. Cuedora’s original code remains proprietary. Optional larger models are downloaded from a pinned Hugging Face revision and checked against published hashes before the app uses them.
Lemon Squeezy is an external checkout and license API. It is not redistributed inside the app.
Updates
Updates are delivered with Sparkle 2 from https://cuedora.com/appcast.xml and archives under https://cuedora.com/releases/. Automatic checks are off until you enable them. Appcasts and archives are verified with an embedded Sparkle EdDSA public key before extraction, and the app remains subject to Apple code signing. You may stay on the Stable channel or opt into Beta, which can include unfinished builds.
Installing an update replaces the previous copy of the software under this same license unless the update presents a new agreement.
Term and termination
This license lasts until you or we end it. You end it by uninstalling and, if you want the seat freed, deactivating this Mac. We may end it if you materially breach this agreement, including by sharing keys or bypassing activation. Ending the license does not delete your local data. A refund deactivates the paid license; see the Refund Policy.
Disclaimer and liability
The software is provided as is. Speech-to-text, OCR, explanations, and suggested reminders or events can be wrong or incomplete. You must review them before anything is created in Calendar or Reminders. Cuedora is not a medical, legal, or financial tool.
To the fullest extent the law allows, we disclaim implied warranties, and our total liability under this license is limited to the amount you paid for the license (or zero if you are on the trial). This limit is how a small company can ship a $14.99 utility without taking on open-ended risk. If your jurisdiction forbids part of this section, the rest still applies.
Export
You may not use or export Cuedora except as allowed by United States law and the laws of the place where you obtained it. You represent that you are not a person or in a place barred from receiving US software under those rules.
Governing law
This license is governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law rules, except that mandatory consumer protections in your home jurisdiction still apply where they cannot be waived.
Except where a mandatory consumer law says otherwise, court cases about this license belong in the state or federal courts in New Jersey.
Other legal terms
This license, together with the Terms of Service, Privacy Policy, and Refund Policy, is the whole agreement for the software. If one part is unenforceable, the rest still applies. If your use of Cuedora or your breaking this license causes a claim against us, you will cover the reasonable cost of that claim to the extent the law allows.
